When can I expect to make my full contribution?

Once you get through the subscription process, we complete our due diligence which can take up to 3 days. Then you’re off the hook until we have the need to call for Capital. You would then receive notification from Juniper Square, our Managed Fund Partner that will include our Capital Call request.

Is the LP percentage dependent on how many other LPs are in the fund at the time a property closes?

All LPs will be treated as if they invested on day one, so after some rebalancing caused by new investors, if you are 3% of committed capital, you will be called 3% of whatever capital is needed. If new investors came in after, you may get some capital returned or it may be held to offset the next capital call.

How is the amount of the cap call determined?

Typically, the cash needed for the investment plus cash needed for expenses multiplied by each LPs share of committed capital. However, it is likely we will call 40% of committed capital from each investor to start, which may not correspond to specific investments and/or expenses.

Please explain tax distributions.

Tax distributions are often specific to the GP because there are scenarios whereby the GP is allocated carried interest for tax purposes but is not entitled to a carry distribution. This allows the GP to receive a distribution to at least cover his/her tax liability. LPs can always get a distribution to cover taxes as normal distributions.

Is my dividend calculated off the total amount I’ve contributed or would the quarterly dividend go down each quarter since there will have been a distribution the prior quarter?

The allocation of distributions is based on each investor pro rata share of total committed capital.

Please explain fees (capital, rev, acquisition, etc.)

Management Fee of 2% (annually) of committed capital paid by limited partners to the fund manager to manage the fund.

Property Management Fee of 5%-7% (annually) of gross revenues paid by each self-storage facility to a related party for internal accounting and operational support of each facility.

Acquisition Fee of 2% of each property purchase price paid once by the fund to outside real estate agents and bank/loan brokers to help identify properties to acquire and to help negotiate the loan terms to acquire each property. 

When do we see information about new property acquisitions?

As the deal closes.

When can we expect to see returns from investment once Capital is called?

As an investor in the Fund, capital is called over a few years and each investor would have a share of every investment made by the fund.

How can I get financial statements from previous years?

You may view them in your investor portal within Juniper Square, or please email investors@greenwoodselfstoragefunds.com to request them.

Will there be any tax documents for 2022?

Our fund administrator closes the books. Once we received the financials, our tax accountants will begin preparing the K1s.

K1s will be distributed via the Greenwood Fund portal.

When there’s a property being looked at, do I get to see any info ahead of time or just after the deal closes?

Just as the deal closes. 

Let’s say 100% of my Capital is called after two deals. I wouldn’t get any return from future properties right - just the two deals?
